2. Definitions
- Service: making the YSSERP software available in the cloud, together with setup, training, development and support services.
- Customer: the individual or legal entity purchasing the Service; User: the people the Customer gives access to the system.
- Delivery: the moment setup, configuration and database creation are completed and the access details are sent to the Customer.
3. Licence of Use and Intellectual Property
The Customer is granted the right to use YSSERP for its own business during the subscription term, limited to the package, modules and number of users purchased. This right is non-exclusive and non-transferable. The Customer may not rent, sell or sublicense the service to third parties, or copy it and run it in another environment without the Seller’s permission.
Intellectual property rights in YSSERP and in the modules, designs and documents developed by the Seller belong to the Seller or its licensors. Open-source components used in the system are subject to their own licence terms. Unless otherwise agreed in writing, rights in modules developed specifically for the Customer remain with the Seller, and the Customer uses these modules during the subscription term.
4. Installation on the Customer’s Server
For sales made by quotation, YSSERP can also be installed on the Customer’s own server (on-premise). In that case, the terms for the cloud service apply with the following differences:
- The right of use is limited to the server, number of users and term stated in the quotation.
- The server’s hardware, operating system, security, backups and internet connection are the Customer’s responsibility.
- Data stays on the Customer’s server, and the Customer is the data controller for this data.
- The Seller accesses the server remotely with the Customer’s authorisation for setup, updates and support, and processes data only for those purposes.
- Delivery is the moment the system is installed on the Customer’s server and the access details are sent; cancellation and refund terms are the same as for the cloud service.
5. Setup and Delivery
Setup is carried out after payment is confirmed, based on the details given at checkout. Allocating server resources, installing and configuring the system and creating the database cannot be undone once setup has started. The Service is deemed performed at the moment of Delivery.
- 1Order Received
Payment is confirmed, the order is set to Pending and the setup details given during checkout are checked.
- 2Installing
Server resources are allocated; the system is installed and configured and the database is created.
- 3Active
Access details are delivered and the system goes live. The service is deemed delivered at this point.
6. Free Trial
YSSERP can be tried free of charge for 15 days. No payment is taken for the trial, and there is no automatic switch to a paid subscription when it ends. The trial environment is for evaluation only and should not be used for real business records or legal documents.
Trial data is deleted within 1 day. When the trial ends, the trial environment and all data entered into it are permanently deleted within 1 day. If you want your data moved to a paid installation, contact us before the trial ends.
7. Fees, Payment and Renewal
Prices are set in Euro and charged in Turkish Lira at the exchange rate on the payment date; taxes are added separately. Subscriptions run for the term stated in the order or quotation (monthly or annual) and renew at the end of each term unless stopped from the My Account panel or by written notice; as card details are not stored, no automatic charge is made; the renewal price is calculated using the current price and exchange rate on the renewal date. If fees remain unpaid, the Seller may suspend the service after giving notice; data is preserved during the suspension.
8. Cancellation and Refunds
No cancellation or refund is possible once setup has started, and a delivered service is not refunded. Customers purchasing for commercial purposes have no right to withdraw or obtain a refund without cause.
Cancellations before setup starts and the terms for each stage are set out in the Refund and Cancellation Policy.
9. Support and Service Continuity
Support requests are received via info@yellowstonesoft.com and +90 537 735 05 02 and answered on business days. The Seller takes reasonable care to keep the service running continuously and securely, and backs up data regularly. Planned maintenance is announced in advance where possible and carried out outside busy hours.
10. Customer Data
Data the Customer enters into YSSERP belongs to the Customer. The Seller processes this data only to provide, support and back up the service, and keeps it confidential. When the subscription ends, the Customer is given a reasonable period to export its data; the data is deleted at the end of that period. See the Privacy Policy and Personal Data Notice for details.
11. Customer Obligations
- Keeping accounts and passwords secure and setting user permissions correctly
- Being responsible for the accuracy and lawfulness of the data entered into the system
- Not using the service in a way that harms the security of the system or other customers
- Meeting its legal record-keeping and filing obligations by checking the outputs it receives from the system
12. Limitation of Liability
The Seller is liable for direct damage caused by its own fault. Towards Business Customers, indirect damage, loss of profit and damage arising from data-entry errors are excluded, and the Seller’s total liability is limited to the fees paid for the relevant service in the twelve months before the event causing the damage. Cases of intent and gross negligence, and the statutory rights of consumers, are reserved.
13. Force Majeure
Obligations are suspended for as long as events beyond the parties’ control last, such as natural disasters, epidemics, war, widespread infrastructure or power outages, cyber attacks and decisions of public authorities. The parties make reasonable efforts to minimise their effects.
14. Changes
The Seller may update these terms. The current version is published on this page; material changes apply to ongoing subscriptions from the renewal date and are notified to the Customer in advance.
15. Governing Law and Jurisdiction
These terms are governed by Turkish law. Consumer Buyers may apply to the Consumer Arbitration Committee or the Consumer Court at their place of residence or where the transaction was made, within the monetary limits announced each year by the Ministry of Trade. For disputes with Business Buyers, the courts and enforcement offices of Kocaeli have jurisdiction.
